These Partner Terms & Conditions govern participation in Passiro’s partner program.
1.0 Agreement and authority
1.1 These Partner Terms & Conditions are between Passiro ApS, registration number 46722248, Gammel Kongevej 60, 1850 Frederiksberg C, Denmark (“Passiro”), and the business or organisation identified in the account used to register for the partner programme (“partner”).
1.2 By completing registration for Passiro’s partner programme, the partner accepts these Partner Terms & Conditions. The agreement takes effect on completion of registration. The person registering confirms that they have authority to accept these terms on the partner’s behalf.
1.3 These terms cover referral and reseller participation. A partner may use either or both models, subject to the rules against duplicate commission and discounts in clause 3.6.
1.4 The partner receives a free Business account for its own use. This benefit does not cover client subscriptions and does not earn commission.
1.5 This addendum supplements the Passiro Terms and DPA, version 2.0 dated 19 October 2026, supplied with the agreement. Its expressly agreed commercial provisions prevail for the partner programme; the DPA governs processing matters. The reseller model grants permission to resell the agreed service. The relationship is non-exclusive. Neither party may bind the other or promise additional service commitments on its behalf.
2.0 Referral
2.1 The customer opens and owns its account, contracts with Passiro and pays Passiro. A validated partner reference is recorded at signup and retained during Free use.
2.2 The partner sees referred domains, plans and relevant earnings without access to customer accounts or consent records.
2.3 Existing customers and genuine attribution corrections require documented approval. A change of agency, account access or billing responsibility does not transfer a valid referral entitlement or create a new referral.
2.4 Self-referrals, test accounts and free benefits do not earn commission.
3.0 Earnings
3.1 Commission is calculated on subscription amounts actually received, excluding VAT and other applicable taxes, after customer discounts and adjusted for refunds and chargebacks. Eligible renewals, upsells, upgrades and additional domains are included within the applicable earning period.
3.2 Payment-processing fees, support costs and overhead are not deducted separately.
3.3 The default commission rate is 40% for 36 months from the referred customer account’s first successful payment. Eligible renewals, upgrades and additional domains in that account are covered only for the remainder of that period. No further commission accrues after expiry unless an individual extension is expressly agreed. Any individually agreed rate, duration and effective dates are recorded for the partner under clause 7.4.
3.4 Each partner’s referral rate and duration may be agreed separately from its reseller discount and duration.
3.5 Annual payments spanning the end of an earning period are allocated to the eligible service period. Corrections use the original payment, rate and EUR posting.
3.6 A domain, payment or billing allocation must never generate duplicate commission, duplicate reseller discount, or both.
4.0 Reseller
4.1 The partner owns its reseller account and client configurations, contracts with its clients and pays Passiro’s invoices whether or not its clients have paid it. It sets its own resale and service prices and holds the necessary client authority, client terms and data-processing arrangements.
4.2 It handles client setup and first-line questions; Passiro provides product support under the agreed plan.
4.3 The default reseller discount is 40% for 36 months from the first successful payment for the relevant domain under the reseller programme. No further discount applies after expiry unless individually agreed. Any individually agreed rate, duration and effective dates are recorded for the partner under clause 7.4. A transfer does not restart the period.
4.4 When a domain leaves the partner’s portfolio, both the partner’s future billing responsibility to Passiro and its reseller discount for that domain end from the documented transfer-effective date. Previously incurred charges and any prepaid-period adjustments remain subject to the applicable billing terms.
4.5 No cash commission is payable on amounts receiving a reseller discount.
5.0 Settlement
5.1 Passiro provides a quarterly statement of eligible earnings, adjustments and balances. Subject to valid payment details and the necessary invoicing/tax documentation, the full available EUR balance is paid within 30 days after quarter-end when it is at least EUR 400. The threshold applies to the partner’s combined available balance across all customer currencies. Below the threshold, amounts carry forward and no 12-month contractual expiry period runs. Passiro must process a payment when the required partner actions are complete; clauses 5.2–5.5 do not permit Passiro to withhold a payment and then treat it as unclaimed.
5.2 Once the partner’s available unpaid commission balance reaches EUR 400, Passiro reserves the right to forfeit commission that remains unclaimed and unpaid for more than 12 months from the date it became eligible for payout. The partner’s entitlement to commission forfeited under this clause then ends.
5.3 For commission accumulated before the EUR 400 threshold is reached, the 12-month period starts on the date that threshold is reached. Later commission has its own 12-month period from the date it becomes eligible for payout. Payments are applied to the oldest commission first.
5.4 Balances below EUR 400 carry forward and do not expire under clause 5.2. If the available unpaid balance falls below EUR 400, any unexpired periods reset and start again when the threshold is next reached. Passiro may forfeit only commission whose own 12-month period has elapsed, and only while the available unpaid balance is at least EUR 400.
5.5 Passiro records any forfeiture in the partner’s commission history. Commission cannot be forfeited because of payment delays attributable to Passiro or its payment provider. This contractual expiry is subject to mandatory applicable law.
5.6 Earnings are recorded and paid in EUR. Foreign-currency earnings are converted once using the disclosed transaction-linked rate and recorded permanently. The original amounts, currencies, conversion rate, rate source and conversion date are shown in the partner’s earnings record and remain fixed for that transaction. Refunds reverse the corresponding original EUR earnings. Each party handles its applicable taxes. Earned commission is a payment obligation and is not reduced by a damages cap.
5.7 Expiry of a three-year or individually agreed earning period stops new earnings; it does not itself cancel accrued amounts. Accrued amounts remain subject to the settlement rules and, where their conditions are met, clauses 5.2–5.5. The EUR 400 payout minimum continues to apply after termination. A smaller balance carries forward and does not expire merely because the partnership or earning period has ended.
6.0 Marketing and confidentiality
6.1 The partner may use approved Passiro materials to promote the agreed service and must keep claims accurate, respect brand guidelines and identify paid recommendations where required. It may not promise guaranteed legal compliance or send unlawful marketing. Customer and commercial information is used only for the partnership and protected from unauthorised disclosure. Public endorsements or case studies require separate permission.
7.0 Changes, transfers and ending the relationship
7.1 Passiro may amend these Partner Terms & Conditions by giving the partner at least 30 calendar days’ advance written notice by email to the partner’s designated contact. The notice will include the revised terms, explain the changes and state their effective date. The changes apply prospectively from that date. If the partner does not accept the changes, it may end the partner relationship by written notice before the changes take effect.
7.2 Changes do not retrospectively reduce accrued commission, alter previously applied discounts or change already agreed prepaid terms. Individually agreed commercial rates and periods remain binding for their agreed duration unless the parties expressly agree otherwise in writing. Ending the relationship in response to a change does not remove accrued payment rights or continuing referral entitlements under clause 7.3.
7.3 Either party may end the partner relationship on 30 days’ written notice. New referrals stop on termination. Legitimate referral rights continue to their agreed earning-period end, including where the partner no longer works with the referred customer or the customer changes agency, unless an individual extension is agreed. Accrued balances remain payable subject to section 5. Ending the partnership or the customer relationship does not extend or restart the earning period.
7.4 The parties may agree an individual percentage and duration separately for referral commission and reseller discount, including an extension beyond the default three years. Passiro records the agreed version, effective date and affected relationships in the partner administration interface. Such changes do not silently rewrite accrued commission, previously applied discounts or prepaid terms. The partner cannot change its own commercial terms unilaterally.
7.5 An agency that takes over a domain does not earn referral commission merely because of that transfer: it did not make the original referral. The original referral partner continues to earn eligible commission for the remainder of its agreed earning period, even if it no longer has a working relationship with the customer. For reseller domains, the outgoing reseller ceases to pay for the domain and ceases to receive its discount from the documented date the domain leaves its portfolio. Accrued earnings, incurred charges and legitimate corrections remain attributed to the original transactions.
7.6 Passiro records the customer’s authority, outgoing and receiving agencies, original referral partner where applicable, account access, billing responsibility and effective date separately. A continuing referral entitlement is not displaced by changing agency or model. No receiving reseller discount may apply to the same domain billing allocation while that allocation earns referral commission. Where no referral entitlement applies, a receiving reseller may receive its separately agreed discount on eligible future billing. Already rewarded payments or discounted prepaid amounts cannot earn another benefit because a transfer occurs. Prepayments, upgrades and corrections must be reconciled without duplication. A transfer does not itself restart an earning period; any individual change requires an express recorded agreement.
7.7 Termination for breach follows the standard Terms. Earnings affected by proven fraud or invalid transactions may be reversed on that basis; unclaimed amounts may lapse only under clauses 5.2–5.5. Technical access, billing responsibility and historical commercial records must remain separately traceable.
8.0 Customer continuity
8.1 Ending the partnership does not itself cancel customers’ subscriptions. Reseller transfers require appropriate customer authority and a documented handover. Each party remains responsible for its agreed obligations. The standard Terms continue to govern service matters, disputes and applicable law.
